Terms of Service

1. Acceptance of Terms

By accessing, registering for, or utilizing the KuroDesk platform ("Service", "Application"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Service.

KuroDesk reserves the right to amend, modify, or update these Terms at any time. Material updates will be communicated through in-app notices or email. Your continued use of the Service following any modification constitutes your binding acceptance of the updated Terms.

2. Description of Services & Platform Architecture

KuroDesk provides an integrated workspace, productivity management tool, and social media automation dispatcher offering features including:

• Multi-Platform AutoPost & Scheduling: Direct publishing and queue dispatcher for Threads (via Meta Graph API), X (Twitter), and Facebook Groups.
• AI Copywriting & Spintax Assistant: Automated caption generator and text variation tool utilizing OpenRouter AI models.
• Task, Note & Project Management: Kanban boards, task progress tracking, and pinned notes.
• Financial Cash Flow Analytics: Income and expense tracking, category distribution, and trend reports.
• Automated Comment & Lead Response: Template-based direct message and auto-reply dispatcher.

3. Third-Party Integrations & Meta Platform Terms Compliance

KuroDesk integrates with third-party application programming interfaces (APIs) including Meta Platforms, Inc. (Threads API & Facebook Graph API), X Corp, and OpenRouter AI. When using these integrations, you agree to the following conditions:

• You agree to comply with all applicable third-party platform rules, including the Meta Terms of Service, Meta Developer Policies, Threads Platform Terms, and X Developer Agreement.
• You authorize KuroDesk to authenticate your account via OAuth 2.0 and securely store scoped access tokens solely for publishing and monitoring the content you schedule.
• KuroDesk will never publish content to your social media accounts without your explicit configuration and schedule command.
• You may disconnect your social media accounts at any time from your KuroDesk project settings, which will immediately delete the stored tokens from our database.
• KuroDesk is not responsible for any enforcement action, account suspension, or rate limits imposed by Meta or other third-party providers resulting from user policy violations.

4. User Accounts & Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all content, captions, images, and links you publish through KuroDesk:

• You must keep your account login credentials secure and confidential.
• You must not use KuroDesk to transmit spam, fraudulent schemes, deceptive marketing, harassment, copyright-infringing media, or any content that violates Meta Community Standards or applicable laws.
• You retain full intellectual property rights to the content you create and upload to KuroDesk.

5. Bring Your Own Key (BYOK) AI Policy

For advanced AI copywriting features, KuroDesk operates on a Bring-Your-Own-Key (BYOK) model:

• You provide your own OpenRouter API key to power AI content generation.
• API usage fees are billed directly to your OpenRouter account by the AI provider.
• Your API key is encrypted using AES-256 and is never accessible to unauthorized third parties or staff.

6. Intellectual Property Rights

All rights, title, and interest in and to the KuroDesk platform (including software code, user interface designs, logos, and documentation) are and will remain the exclusive property of KuroDesk.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with your subscription plan and these Terms.

7. Limitation of Liability & Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, KuroDesk and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or service interruption caused by third-party API downtime (such as Meta API outages or X API rate limits).

8. Account Termination & Data Purge

You may terminate your KuroDesk account at any time. Upon receiving your deletion request, all account credentials, OAuth tokens, and workspace records will be permanently purged within 48 hours.

We reserve the right to suspend or terminate accounts that engage in abusive automation, spamming, or violations of these Terms.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising out of or related to these Terms shall first be resolved through good-faith consultation, and if unresolved, submitted to the competent courts in Indonesia.
